Dyne Terms and Conditions

Welcome to Dyne (“Dyne,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of the Dyne website, platform, and services (collectively, the “Service”).
By accessing or using Dyne, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. About Dyne
Dyne is a web-based payment and analytics platform that enables restaurant guests to authenticate, view live receipts, tip, pay, and leave feedback directly from their mobile devices, while providing restaurants with operational and customer insights.
Dyne is operated by Dyne, Inc., a company organized in the United States (California).
2. Eligibility
You must be at least 18 years old to use Dyne. By using the Service, you represent and warrant that:
- You are legally eligible to enter into these Terms
- All information you provide is accurate and truthful
3. Accounts and Registration
To access certain features, you must create an account using a valid email address and phone number.
You agree to:
- Provide accurate information
- Maintain the confidentiality of your account credentials
- Accept responsibility for all activity under your account
Dyne reserves the right to suspend or terminate accounts that contain false information or are used in violation of these Terms.
4. SMS Communications & Authentication
By creating an account or using Dyne, you consent to receive automated SMS text messages for authentication, security, and transactional purposes only, including one-time passcodes and account verification.

- Dyne does not send marketing or promotional SMS messages
- Consent to receive SMS messages is required to use the Service
Reply STOP at any time to opt out; however, opting out may prevent access to core functionality.
5. Payments, Tips, and Authorizations
Dyne facilitates digital payments and tipping on behalf of participating restaurants.
Payment Authorization
By submitting a payment, you authorize Dyne and its payment processors to charge your selected payment method for:
- The final billed amount
- Any tips you submit
- Any applicable fees disclosed before payment
Billing Accuracy
You are responsible for reviewing your receipt before submitting payment. Dyne is not responsible for pricing or menu item errors originating from the restaurant’s point-of-sale system.
Failure to Complete Payment
If you leave a restaurant without submitting payment through Dyne, you may authorize Dyne to charge a default gratuity or outstanding balance as disclosed during your dining experience.
6. Refunds and Disputes
Refunds are generally handled by the restaurant, not Dyne.
Dyne does not guarantee refunds and is not responsible for:
- Food quality
- Service quality
- Restaurant-specific disputes
Chargebacks or disputes initiated through your bank may result in account suspension.
7. User-Generated Content
You may submit reviews, feedback, or other content (“User Content”).
By submitting User Content, you grant Dyne a non-exclusive, royalty-free, worldwide license to use, display, modify, and analyze such content for platform and analytics purposes.
You agree not to submit content that is abusive, defamatory, fraudulent, unlawful, or misleading.
8. Analytics & Data Usage
Dyne may analyze anonymized and aggregated data to:
- Improve the Service
- Provide insights to restaurants
- Develop new features
No personally identifiable data is sold. Data practices are governed by our Privacy Policy.
9. Intellectual Property
All Dyne software, trademarks, designs, and content are owned by Dyne or its licensors.
You may not:
- Copy, reverse engineer, or exploit the platform
- Use Dyne branding without written permission
10. Prohibited Activities
You agree not to:
- Commit fraud or unauthorized charges
- Abuse, harass, or impersonate others
- Circumvent authentication or security features
- Use Dyne for unlawful purposes
Violations may result in immediate suspension or termination.
11. Third-Party Services
Dyne integrates with third-party services including:
- Payment processors
- SMS providers (e.g., Twilio)
- Restaurant POS systems
Dyne is not responsible for outages or issues caused by third-party providers.
12. Account Suspension & Termination
Dyne may suspend or terminate your account at any time for:
- Violations of these Terms
- Fraud or abuse
- Legal or regulatory requirements
You may stop using Dyne at any time.
13. Disclaimer of Warranties
The Service is provided “as is” and “as available.”
Dyne disclaims all warranties, including:
- Merchantability
- Fitness for a particular purpose
- Uninterrupted or error-free service
14. Limitation of Liability
To the fullest extent permitted by law, Dyne shall not be liable for:
- Indirect or consequential damages
- Lost profits or data
- Restaurant service disputes
Dyne’s total liability shall not exceed $100 or the amount you paid through Dyne, whichever is greater.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Any dispute must be brought exclusively in California state or federal courts.
16. Changes to These Terms
Dyne may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.
17. Privacy Policy
Your use of Dyne is also governed by our Privacy Policy, which is incorporated by reference.
